Terms of Service

These Terms of Service (“Terms”) govern your access to and use of RVWise.ai, Inc.’s (“RVWise,” “we,” “our,” or “us”) mobile application, websites (including rvwise.ai and related domains), and related features, tools, and services (collectively, the “App”). By creating an account, accessing, or using the App, you agree to these Terms and to our Privacy Policy, which is incorporated herein by reference. If you do not agree, you may not use the App.

1. Eligibility. You must be at least eighteen (18) years old to create an account and use the App. Users under thirteen (13) are not permitted to use the App. Users under eighteen (18) are not permitted to access or use financing or lending features. By using the App, you represent and warrant that you meet these requirements.

2. Description of Services. RVWise provides technology-enabled tools and services, including calculators, AI-powered chat and voice features, and informational resources to assist RV buyers and owners with the RV lifecycle (pre-purchase, purchase, inspection, orientation, setup, travel planning, camping, maintenance, upgrades, safety, compliance, and resale). The App may also facilitate connections between users and independent third-party service providers, including RV dealers, lenders, brokers, and financing platforms.

3. No Financial, Legal, or Professional Advice. RVWise is not a lender, broker, financial advisor, fiduciary, attorney, or tax advisor. The App does not provide financial, legal, investment, tax, or professional advice. Any calculators, financing options, or AI-generated responses are for general informational purposes only. You are solely responsible for evaluating information and making decisions. You should obtain advice from qualified professionals before entering into financial, legal, or contractual transactions.

4. No Lender, Broker, or Fiduciary Relationship. RVWise is a technology platform. We do not originate loans, make credit decisions, underwrite, or negotiate loan terms. If you engage with a lender, broker, or financial institution through the App, your relationship is solely with that third party. RVWise is not a party to any financing transaction and does not guarantee approval, rates, terms, or outcomes.

5. Marketplace and Resale Features. The App may provide tools or resources to assist users with resale or exit of RVs, including introductions to third-party buyers, sellers, or platforms. RVWise is not a party to any purchase, sale, or transaction, does not verify or guarantee listings, and is not responsible for the conduct of buyers, sellers, or other third parties. All transactions are solely between you and the other party.

6.User Accounts and Responsibilities. You agree to provide accurate, complete, and current information when creating or maintaining your account. You are responsible for safeguarding your credentials and for all activity under your account. You may not use the App for unlawful, harmful, or fraudulent purposes. You are solely responsible for all content you submit, upload, or make available through the App. You represent and warrant that you own or have the necessary rights to such content and that it does not infringe or violate any third party’s rights. You must not upload or share confidential, proprietary, or sensitive information (including financial account numbers, government identification numbers, or health data) unless explicitly required by the App’s functionality and disclosed in our Privacy Policy.

7. User Content License. By submitting content (including voice recordings, text, files, images, or other materials) through the App, you grant RVWise a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, host, reproduce, modify, distribute, display, and create derivative works of such content as necessary to operate, provide, and improve the App, develop AI models and platform features, and comply with legal obligations. You retain ownership of your content.

8. Content Monitoring and Enforcement. RVWise may, but is not obligated to, monitor, remove, or disable access to any user content that violates these Terms, infringes intellectual property rights, is unlawful, or is otherwise objectionable in our discretion. We may suspend or terminate accounts that repeatedly infringe third-party rights or misuse the App.

9. Privacy. Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, share, and protect personal and sensitive information. The Privacy Policy is incorporated into these Terms by reference.

10. Third-Party Services. The App may link to or integrate with third-party services, including but not limited to voice and AI providers (such as Vapi.ai and OpenAI), retrieval and hosting providers (such as LlamaCloud and Google Cloud Platform), backend services (such as Firebase), payment processors, and financing partners. Third-party providers are solely responsible for their own services, practices, and compliance with applicable laws. RVWise does not control and disclaims liability for the actions or omissions of these providers.

11. Payments and Subscriptions. RVWise may offer paid features or subscription services. Payments are processed exclusively by PCI DSS–compliant third-party payment processors. RVWise does not collect or store complete credit or debit card numbers. By providing payment information, you authorize the processor to charge your payment method for applicable fees. Refund, cancellation, and renewal terms are provided within the App and may also be subject to Apple App Store or Google Play Store rules.

12. Prohibited Uses. You may not use the App to: (a) violate any applicable law or regulation; (b) infringe intellectual property, privacy, or publicity rights; (c) upload or transmit malware or harmful code; (d) engage in harassment, fraud, or deceptive practices; (e) interfere with the security or performance of the App; or (f) attempt to gain unauthorized access to any accounts, systems, or networks.

13. AI and Automated Features. Certain features of the App use artificial intelligence (“AI”) and Retrieval Augmented Generative (“RAG”) technology, including services provided by OpenAI, Vapi.ai, and LlamaCloud, to generate responses and provide information. AI outputs are automated and may not always be accurate, complete, or up-to-date. You should not rely on AI outputs for financial, legal, safety, or compliance decisions without independent verification. 14. Dispute Resolution and Arbitration Agreement. Any disputes, claims, or controversies arising from or relating to these Terms or your use of the App shall be resolved by binding individual arbitration in accordance with the Federal Arbitration Act, except for claims that qualify for small claims court. Class actions and collective proceedings are not permitted. You will be provided a separate, clearly labeled checkbox to affirmatively agree to this arbitration provision. You may opt out of arbitration within thirty (30) days of acceptance by sending written notice to [privacy@rvwise.ai]. If you opt out, disputes shall be resolved exclusively in the state and federal courts located in San Diego County, California, without regard to conflict laws, and you consent to the jurisdiction of those courts.

15. Intellectual Property Rights. The App, including its software, design, features, and all content (other than User Content), as well as RVWise trademarks and logos, are owned by RVWise or its licensors. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the App except as expressly permitted by these Terms.

16. Copyright Policy (DMCA Notice). RVWise complies with the Digital Millennium Copyright Act (“DMCA”). If you believe material on the App infringes your copyright, you may submit a written DMCA notice to our designated agent. Your notice must include: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and its location on the App; (d) your contact information; (e) a statement that you have a good faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner. Our designated DMCA agent can be contacted at: DMCA Agent, RVWise.ai, Inc., [insert name/title], [insert mailing address], [insert phone number], [insert email address]. If your content is removed under a DMCA notice and you believe this was a mistake, you may submit a counter-notification as provided in 17 U.S.C. § 512(g). If we receive a valid counter-notice, we may restore the content unless the copyright owner files a court action. RVWise may terminate accounts of repeat infringers.

17. Disclaimers. The App and all services are provided “as is” and “as available.” RVWise disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be error-free, secure, uninterrupted, or that AI-generated outputs, financial information, or compliance content will be accurate, complete, or reliable. Certain features of the App provide general information about RV safety, inspections, and regulatory compliance. RVWise does not guarantee the accuracy, completeness, or applicability of this information. You are solely responsible for ensuring compliance with applicable laws, regulations, and safety standards, and for seeking professional or official guidance where appropriate.

18. Disclaimers. The App and all services are provided “as is” and “as available.” RVWise disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be error-free, secure, uninterrupted, or that AI-generated outputs, financial information, or compliance content will be accurate, complete, or reliable. Certain features of the App provide general information about RV safety, inspections, and regulatory compliance. RVWise does not guarantee the accuracy, completeness, or applicability of this information. You are solely responsible for ensuring compliance with applicable laws, regulations, and safety standards, and for seeking professional or official guidance where appropriate.

19. Limitation of Liability. To the maximum extent permitted by law, RVWise and its affiliates, officers, directors, employees, and agents will not be liable for indirect, incidental, consequential, or punitive damages, or lost profits or revenues, arising out of or related to your use of the App. Our total liability to you for all claims shall not exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some provisions may not apply.

20. Indemnification. You agree to indemnify and hold harmless RVWise and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, or expenses (including attorneys’ fees) arising from or related to your use of the App, your User Content, or your violation of these Terms.

21. Force Majeure. RVWise shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, power outages, internet or telecommunications failures, labor disputes, governmental actions, or acts of God.

22. Governing Law. These Terms are governed by the laws of the State of California, without regard to its conflict of law rules, and by applicable federal law. Subject to the Arbitration Agreement, any disputes shall be resolved exclusively in the state and federal courts located in San Diego County, California, and you consent to personal jurisdiction and venue in those courts.

23. Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be enforced to the maximum extent permissible or deemed modified to the minimum extent necessary to render it enforceable.

24. Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign or transfer our rights and obligations without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

25. Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and RVWise regarding your use of the App and supersede any prior or contemporaneous agreements, communications, or understandings.

26. Notices. We may provide notices to you by email, in-App notifications, or postings within the App. You agree that electronic communications satisfy any legal requirement for written notice. You are responsible for keeping your contact information current.

27. Changes to Terms. We may update these Terms from time to time. If we make material changes, we will provide notice at least thirty (30) days before such changes take effect, including by updating the “Last Updated” date and providing notice within the App. Continued use of the App after the effective date constitutes acceptance of the revised Terms.

28. Export Control Compliance. You may not use, export, or re-export the App except as authorized by United States law. The App may not be used in or by persons or entities located in countries subject to U.S. embargoes or on any U.S. government restricted party lists.
